Terms and Conditions for Website Design and Development Services

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before engaging Designie for branding, website design, and development services. These Terms apply to all clients ("Client", "you", "your") who engage with Designie ("us", "we", "our") for our services.

Introduction

By entering into a contract with Designie, you agree to be bound by these Terms and Conditions. If you disagree with any part of the Terms, you should not engage with our services. Your continued use of our services constitutes your acceptance of these Terms.

Acceptance of Terms

  1. Designie agrees to provide website design and development services to the Client, in accordance with the specifications agreed upon by both parties.

  2. The Client agrees to pay for the services provided by Designie in accordance with the payment terms outlined in this agreement.

  3. Designie reserves the right to terminate this agreement if the Client breaches any of the terms outlined in this agreement.

Service Agreement

  1. Quotations: All quotations provided by Designie are valid for 14 days from the date of issue. Any changes requested by the Client after the acceptance of a quotation may result in additional fees. If the scope of work changes significantly, a revised quotation will be provided.

  2. Invoicing: Designie will issue invoices as per the agreed-upon payment schedule outlined in the project proposal.

  3. Payment: Payments are due within 14 days of the invoice date. Late payments may result in a delay or suspension of work until the outstanding balance is settled. Designie reserves the right to charge interest on overdue invoices at a rate of 1.5% per month, or the maximum rate permitted by the law. 

Quotations, Invoicing, and Payment

  1. The instant quote feature provided on our website is an estimate based on the information provided by the user. It is not a binding contract, and we reserve the right to revise the quote based on any additional information or changes to the project requirements. 

  2. The final cost of your project may vary depending on the specific needs and requirements of your project. Our team will review your project in detail and provide you with a comprehensive quote.

  3. We are not responsible for any errors or inaccuracies in the information provided by the user that may result in an inaccurate quote.

  4. The instant quote feature is provided for informational purposes only and does not constitute a contract or agreement between the user and our company.

  5. We reserve the right to modify or discontinue the instant quote feature at any time without prior notice.

  6. By using the instant quote feature on our website, you agree to these terms and conditions.

Instant Quote

  1. Designie will provide the Client with a project timeline, outlining the estimated time required to complete the Website. The timeline is subject to change, based on the Client's input and feedback.

  2. The Website will be delivered to the Client in accordance with the project timeline and specifications agreed upon by both parties.

  3. Designie will provide the Client with regular updates on the progress of the project, and the Client will have the opportunity to provide feedback and make changes to the Website during the development process.

Project Timeline and Deliverables

  1. The Client agrees to pay for the services provided by Designie in accordance with the payment terms outlined in the fee proposal.

  2. The Client agrees to pay a deposit before the start of the project, with the remaining balance payable upon completion of the Website.

  3. The Client agrees to pay any additional costs incurred during the project, such as additional revisions or the purchase of third-party software or tools.

Payment Terms

  1. The Website and its design and content will be the property of the Client once the full payment has been received by Designie.

  2. The Client agrees to indemnify Designie for any claims arising from the use of any intellectual property that is not owned by the Client, including but not limited to images, text, and graphics.

  3. Designie reserves the right to use the Website as a portfolio piece and to showcase the Website on Designie's website and other marketing materials.

Intellectual Property

  1. Designie guarantees that the services and deliverables provided will be performed in a professional and competent manner, in accordance with industry standards. In the event that the Client is not satisfied with the services or deliverables provided, the Client may request that Designie rectify the issue within 30 days of receipt of the services or deliverables. If Designie is unable to rectify the issue to the Client's satisfaction, the Client may request that Designie provide additional services or modifications at no additional cost. 

  2. To the maximum extent permitted by law, Designie will not be held liable for any direct, indirect, special, incidental, consequential, or punitive damages arising from errors, mistakes, or inaccuracies in Client content; loss of use or profits resulting from the use of any deliverables provided by Designie; or any events beyond the reasonable control of Designie, including internet failures, acts of God, war, terrorism, fires, floods, or non-performance by any third parties. Designie provides no warranties, whether express or implied, in connection to the results that may be obtained from the Client's use of the services or the deliverables provided in connection with the services.

Warranty and Liability

  1. Either party may terminate this agreement at any time by providing written notice to the other party.

  2. In the event of termination, the Client will be responsible for payment for any services provided by Designie up to the date of termination.

  3. Designie will retain the right to use the Website as a portfolio piece and to showcase the Website on Designie's website and other marketing materials.

Termination

This agreement will be governed by and construed in accordance with the laws of Australia.

Governing Law

  1. Designie agrees to maintain the confidentiality of all information provided by the Client, and to use such information only for the purpose of providing the services outlined in this agreement.

  2. The Client agrees to maintain the confidentiality of all information provided by Designie, and to use such information only for the purpose of using the Website.

Confidentiality

After completion of the Work, Designie will notify the Client and provide an opportunity to review it. If there are any unsatisfactory points, the Client must notify Designie in writing within 7 days of receiving the notification. Any Work that is not reported in writing as unsatisfactory within the 7-day review period will be considered approved. Once approved, the Work cannot be rejected, and the contract will be deemed completed. The remaining balance payment will become due. The Contract will remain in effect until all obligations have been completed in accordance with this Clause.

Approval of Work 

The proposed time frames for the project are contingent upon the full cooperation of the client and the timely provision of complete content and photography. If the project is delayed for more than 2 weeks or is halted indefinitely, Designie reserves the right to invoice the client for work completed up to that point and is eligible for full and final payment. The client is liable for any damages, claims, expenses, losses, or liabilities arising out of or related to the project.

Project Delays & Client Liability:

All notices, requests, and other communications under this agreement will be in writing and will be deemed to have been given when delivered in person, sent by registered or certified mail, return receipt requested, or sent by email with confirmed receipt.
